Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Simpli Software ("we," "us," "our") governing your access to and use of Simpli Shop Pro (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Simpli Shop Pro is a subscription software product for managing an auto repair shop's customers, vehicles, estimates, jobs, invoicing, inventory, and scheduling.
2. Accounts
You must provide accurate information when creating an account and are responsible for keeping your login credentials secure and for all activity that occurs under your account.
3. Subscription and payment
The Service is offered on a subscription basis. Fees are billed in advance and are non-refundable except where required by law. We may change our fees with reasonable notice. You may cancel at any time; cancellation takes effect at the end of the current billing period.
4. Acceptable use
You agree not to misuse the Service, including by attempting to access data or accounts you're not authorized to access, disrupting the Service, or using it for any unlawful purpose.
5. Your data
You retain ownership of the data you submit to the Service. You're responsible for the accuracy of that data and for having the right to submit it. See our Privacy Policy for how we handle data.
6. Third-party services
The Service relies on third-party providers (for example, payment processing and messaging) to operate. We aren't responsible for the acts or omissions of third-party providers.
7. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the maximum extent permitted by law.
8. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim, and we will not be liable for any indirect, incidental, special, consequential, or punitive damages.
9. Termination
We may suspend or terminate your access to the Service for violation of these Terms. You may stop using the Service at any time.
10. Changes to these Terms
We may modify these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.
